Kosmos Energy Ltd (NYSE:KOS) shares declined Thursday, after the oil-and-gas explorer and producer said a secondary sale of 17 million shares priced at $9.92 each, a 6.6% discount to the shares’ Wednesday closing price. KOS was down 3% at $10.30 shortly after Thursday’s open, in a 52-week range between $9.71 and $11.60.

The shares are being sold by funds affiliated with Blackstone Group (BX) and Warburg Pincus, which have also granted the underwriter a 30-day option to buy an additional 2.6 million shares to cover any overallotments. Kosmos won’t receive any proceeds from the share sale, which is expected to close July 15.

ConocoPhillips (NYSE:COP), an independent exploration and production company, which explores for, produces, transports and markets crude oil, bitumen, natural gas, liquefied natural gas and natural gas liquids, said its board of directors has raised the company’s quarterly dividend by 5.8%. Shares are down 1.5% at $84.52, with a 52-week range of $62.74 – $86.65. The new dividend of $0.73 per share is payable on Sept. 2, 2014, to stockholders of record at the close of business on July 21, 2014. The prior dividend of $0.69 per share was paid June 2, 2014.

Memorial Production Partners LP (NASDAQ:MEMP) units declined Thursday, after the oil-and-gas company said its sale of 8.6 million common units will have total gross proceeds of approximately $193.5 million. That indicates a price per unit of $22.50, 5.9% below the stock’s Wednesday closing price. MEMP was down 7.4% recently at $22.16, in a 52-week range between $18.65 and $24.75.

Underwriters have a 30-day option to buy an additional 1.3 million units. Memorial Production said it plans to use net proceeds to repay a portion of the outstanding borrowings under its revolving credit facility. The offering is expected to close July 15.
